PELL SOLAR INC. — REFERRAL REWARDS PROGRAM AGREEMENT

This Referral Program Agreement ("Agreement") is entered into between Pell Solar Inc. ("Company"), License #949122, and the individual creating this account ("Referrer").

1. PROGRAM OVERVIEW

The Pell Solar Referral Rewards Program allows existing customers to earn cash rewards by referring new customers who purchase and install a solar energy system through Pell Solar. By participating, Referrer agrees to all terms outlined in this Agreement.

2. REFERRAL REWARD STRUCTURE

Rewards are based on the total number of qualifying referrals completed by the Referrer:

• 1st qualifying referral: $500

• 2nd qualifying referral: $1,000

• 3rd qualifying referral: $1,500

• 4th qualifying referral and beyond: $2,000 each (maximum per referral)

2A. REFERRED FRIEND REWARD

The referred individual ("Friend") who signs a contract and installs a solar energy system through Pell Solar is eligible for a $500 discount applied to their system purchase. This discount will be reflected in the Friend's installation contract at the time of signing. The Friend discount is non-transferable, has no cash value, cannot be combined with other promotions unless expressly approved by Pell Solar, and is subject to the same qualifying referral requirements outlined in Section 3. Pell Solar reserves the right to modify or discontinue the Friend reward at any time.

3. QUALIFYING REFERRAL

A "qualifying referral" means a referred individual who (a) is a new customer not previously in Pell Solar's system, (b) signs a contract for a solar energy system with Pell Solar, (c) has the system fully installed, and (d) receives Permission to Operate (PTO) from the local utility company. Only one referral reward is paid per installation address. The referred customer must be the homeowner or authorized decision-maker for the property.

3A. DUPLICATE REFERRALS — FIRST-COME, FIRST-SERVED

Each prospective customer may only be referred to Pell Solar once. The Referrer who first submits the referral is the sole Referrer of record. Duplicate submissions will be rejected. Rewards are not split. Pell Solar's decision is final.

4. PAYMENT TERMS

Referral rewards are paid only after the referred customer's system has reached PTO. Cash purchase systems: ~10 business days. Lease/finance systems: ~15 business days. Cancelled projects receive no reward.

5. PAYMENT METHOD

Referral rewards will be paid via the Referrer's chosen payment method (check, Venmo, or Zelle) as specified in their account profile.

6. TAX OBLIGATIONS & 1099 REPORTING

Referral rewards constitute taxable income. If total payments reach $2,000+ in a calendar year, Pell Solar will issue IRS Form 1099-NEC. The Referrer is solely responsible for all applicable taxes.

7. PROGRAM RULES

Referrer must be an existing Pell Solar customer. Self-referrals are not permitted. Only one referral reward per installation address. Pell Solar employees and immediate family are not eligible.

8–20. ADDITIONAL TERMS

Pell Solar reserves the right to modify or terminate the program at any time. Referrer is an independent participant, not an employee or agent. Referrer agrees to indemnify Pell Solar against claims arising from Referrer's conduct. Disputes governed by California law, San Bernardino County.
